82<p><span style="font-size: 10pt;">THE ACCOMPANYING PROGRAM IS PROVIDED UNDER
83THE TERMS OF THIS ECLIPSE PUBLIC LICENSE ("AGREEMENT"). ANY USE,
84REPRODUCTION OR DISTRIBUTION OF THE PROGRAM CONSTITUTES RECIPIENT'S ACCEPTANCE
85OF THIS AGREEMENT.</span> </p>

87<p><b><span style="font-size: 10pt;">1. DEFINITIONS</span></b> </p>

89<p><span style="font-size: 10pt;">"Contribution" means:</span> </p>

92in the case of the initial Contributor, the initial code and documentation
93distributed under this Agreement, and<br clear="left">
94b) in the case of each subsequent Contributor:</span></p>

97changes to the Program, and</span></p>

102<p class="MsoNormal" style="margin-left: 0.5in;"><span style="font-size: 10pt;">where
103such changes and/or additions to the Program originate from and are distributed
104by that particular Contributor. A Contribution 'originates' from a Contributor
105if it was added to the Program by such Contributor itself or anyone acting on
106such Contributor's behalf. Contributions do not include additions to the
107Program which: (i) are separate modules of software distributed in conjunction
108with the Program under their own license agreement, and (ii) are not derivative
109works of the Program. </span></p>

111<p><span style="font-size: 10pt;">"Contributor" means any person or
112entity that distributes the Program.</span> </p>

114<p><span style="font-size: 10pt;">"Licensed Patents " mean patent
115claims licensable by a Contributor which are necessarily infringed by the use
116or sale of its Contribution alone or when combined with the Program. </span></p>

118<p><span style="font-size: 10pt;">"Program" means the Contributions
119distributed in accordance with this Agreement.</span> </p>

121<p><span style="font-size: 10pt;">"Recipient" means anyone who
122receives the Program under this Agreement, including all Contributors.</span> </p>

124<p><b><span style="font-size: 10pt;">2. GRANT OF RIGHTS</span></b> </p>

126<p class="MsoNormal" style="margin-left: 0.5in;"><span style="font-size: 10pt;">a)
127Subject to the terms of this Agreement, each Contributor hereby grants Recipient
128a non-exclusive, worldwide, royalty-free copyright license to<span style="color: red;"> </span>reproduce, prepare derivative works of, publicly
129display, publicly perform, distribute and sublicense the Contribution of such
130Contributor, if any, and such derivative works, in source code and object code
131form.</span></p>

133<p class="MsoNormal" style="margin-left: 0.5in;"><span style="font-size: 10pt;">b)
134Subject to the terms of this Agreement, each Contributor hereby grants
135Recipient a non-exclusive, worldwide,<span style="color: green;"> </span>royalty-free
136patent license under Licensed Patents to make, use, sell, offer to sell, import
137and otherwise transfer the Contribution of such Contributor, if any, in source
138code and object code form. This patent license shall apply to the combination
139of the Contribution and the Program if, at the time the Contribution is added
140by the Contributor, such addition of the Contribution causes such combination
141to be covered by the Licensed Patents. The patent license shall not apply to
142any other combinations which include the Contribution. No hardware per se is
143licensed hereunder. </span></p>

145<p class="MsoNormal" style="margin-left: 0.5in;"><span style="font-size: 10pt;">c)
146Recipient understands that although each Contributor grants the licenses to its
147Contributions set forth herein, no assurances are provided by any Contributor
148that the Program does not infringe the patent or other intellectual property
149rights of any other entity. Each Contributor disclaims any liability to Recipient
150for claims brought by any other entity based on infringement of intellectual
151property rights or otherwise. As a condition to exercising the rights and
152licenses granted hereunder, each Recipient hereby assumes sole responsibility
153to secure any other intellectual property rights needed, if any. For example,
154if a third party patent license is required to allow Recipient to distribute
155the Program, it is Recipient's responsibility to acquire that license before
156distributing the Program.</span></p>

158<p class="MsoNormal" style="margin-left: 0.5in;"><span style="font-size: 10pt;">d)
159Each Contributor represents that to its knowledge it has sufficient copyright
160rights in its Contribution, if any, to grant the copyright license set forth in
161this Agreement. </span></p>

163<p><b><span style="font-size: 10pt;">3. REQUIREMENTS</span></b> </p>

165<p><span style="font-size: 10pt;">A Contributor may choose to distribute the
166Program in object code form under its own license agreement, provided that:</span>

169<p class="MsoNormal" style="margin-left: 0.5in;"><span style="font-size: 10pt;">a)
170it complies with the terms and conditions of this Agreement; and</span></p>

172<p class="MsoNormal" style="margin-left: 0.5in;"><span style="font-size: 10pt;">b)
173its license agreement:</span></p>

175<p class="MsoNormal" style="margin-left: 0.5in;"><span style="font-size: 10pt;">i)
176effectively disclaims on behalf of all Contributors all warranties and
177conditions, express and implied, including warranties or conditions of title
178and non-infringement, and implied warranties or conditions of merchantability
179and fitness for a particular purpose; </span></p>

181<p class="MsoNormal" style="margin-left: 0.5in;"><span style="font-size: 10pt;">ii)
182effectively excludes on behalf of all Contributors all liability for damages,
183including direct, indirect, special, incidental and consequential damages, such
184as lost profits; </span></p>

186<p class="MsoNormal" style="margin-left: 0.5in;"><span style="font-size: 10pt;">iii)
187states that any provisions which differ from this Agreement are offered by that
188Contributor alone and not by any other party; and</span></p>

190<p class="MsoNormal" style="margin-left: 0.5in;"><span style="font-size: 10pt;">iv)
191states that source code for the Program is available from such Contributor, and
192informs licensees how to obtain it in a reasonable manner on or through a
193medium customarily used for software exchange.<span style="color: blue;"> </span></span></p>

195<p><span style="font-size: 10pt;">When the Program is made available in source
196code form:</span> </p>

198<p class="MsoNormal" style="margin-left: 0.5in;"><span style="font-size: 10pt;">a)
199it must be made available under this Agreement; and </span></p>

201<p class="MsoNormal" style="margin-left: 0.5in;"><span style="font-size: 10pt;">b) a
202copy of this Agreement must be included with each copy of the Program. </span></p>

204<p><span style="font-size: 10pt;">Contributors may not remove or alter any
205copyright notices contained within the Program. </span></p>

207<p><span style="font-size: 10pt;">Each Contributor must identify itself as the
208originator of its Contribution, if any, in a manner that reasonably allows
209subsequent Recipients to identify the originator of the Contribution. </span></p>

211<p><b><span style="font-size: 10pt;">4. COMMERCIAL DISTRIBUTION</span></b> </p>
212
213<p><span style="font-size: 10pt;">Commercial distributors of software may
214accept certain responsibilities with respect to end users, business partners
215and the like. While this license is intended to facilitate the commercial use
216of the Program, the Contributor who includes the Program in a commercial
217product offering should do so in a manner which does not create potential
218liability for other Contributors. Therefore, if a Contributor includes the
219Program in a commercial product offering, such Contributor ("Commercial
220Contributor") hereby agrees to defend and indemnify every other
221Contributor ("Indemnified Contributor") against any losses, damages and
222costs (collectively "Losses") arising from claims, lawsuits and other
223legal actions brought by a third party against the Indemnified Contributor to
224the extent caused by the acts or omissions of such Commercial Contributor in
225connection with its distribution of the Program in a commercial product
226offering. The obligations in this section do not apply to any claims or Losses
227relating to any actual or alleged intellectual property infringement. In order
228to qualify, an Indemnified Contributor must: a) promptly notify the Commercial
229Contributor in writing of such claim, and b) allow the Commercial Contributor
230to control, and cooperate with the Commercial Contributor in, the defense and
231any related settlement negotiations. The Indemnified Contributor may participate
232in any such claim at its own expense.</span> </p>

234<p><span style="font-size: 10pt;">For example, a Contributor might include the
235Program in a commercial product offering, Product X. That Contributor is then a
236Commercial Contributor. If that Commercial Contributor then makes performance
237claims, or offers warranties related to Product X, those performance claims and
238warranties are such Commercial Contributor's responsibility alone. Under this
239section, the Commercial Contributor would have to defend claims against the
240other Contributors related to those performance claims and warranties, and if a
241court requires any other Contributor to pay any damages as a result, the
242Commercial Contributor must pay those damages.</span> </p>

244<p><b><span style="font-size: 10pt;">5. NO WARRANTY</span></b> </p>

246<p><span style="font-size: 10pt;">EXCEPT AS EXPRESSLY SET FORTH IN THIS
247AGREEMENT, THE PROGRAM IS PROVIDED ON AN "AS IS" BASIS, WITHOUT
248WARRANTIES OR CONDITIONS OF ANY KIND, EITHER EXPRESS OR IMPLIED INCLUDING,
249WITHOUT LIMITATION, ANY WARRANTIES OR CONDITIONS OF TITLE, NON-INFRINGEMENT,
250MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. Each Recipient is solely
251responsible for determining the appropriateness of using and distributing the
252Program and assumes all risks associated with its exercise of rights under this
253Agreement , including but not limited to the risks and costs of program errors,
254compliance with applicable laws, damage to or loss of data, programs or
255equipment, and unavailability or interruption of operations. </span></p>

257<p><b><span style="font-size: 10pt;">6. DISCLAIMER OF LIABILITY</span></b> </p>

259<p><span style="font-size: 10pt;">EXCEPT AS EXPRESSLY SET FORTH IN THIS
260AGREEMENT, NEITHER RECIPIENT NOR ANY CONTRIBUTORS SHALL HAVE ANY LIABILITY FOR
261ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES
262(INCLUDING WITHOUT LIMITATION LOST PROFITS), HOWEVER CAUSED AND ON ANY THEORY
263OF LIABILITY, WHETHER IN CONTRACT, STRICT LIABILITY, OR TORT (INCLUDING
264NEGLIGENCE OR OTHERWISE) ARISING IN ANY WAY OUT OF THE USE OR DISTRIBUTION OF
265THE PROGRAM OR THE EXERCISE OF ANY RIGHTS GRANTED HEREUNDER, EVEN IF ADVISED OF
266THE POSSIBILITY OF SUCH DAMAGES.</span> </p>

268<p><b><span style="font-size: 10pt;">7. GENERAL</span></b> </p>

270<p><span style="font-size: 10pt;">If any provision of this Agreement is invalid
271or unenforceable under applicable law, it shall not affect the validity or
272enforceability of the remainder of the terms of this Agreement, and without
273further action by the parties hereto, such provision shall be reformed to the
274minimum extent necessary to make such provision valid and enforceable.</span> </p>

276<p><span style="font-size: 10pt;">If Recipient institutes patent litigation
277against any entity (including a cross-claim or counterclaim in a lawsuit)
278alleging that the Program itself (excluding combinations of the Program with
279other software or hardware) infringes such Recipient's patent(s), then such
280Recipient's rights granted under Section 2(b) shall terminate as of the date
281such litigation is filed. </span></p>

283<p><span style="font-size: 10pt;">All Recipient's rights under this Agreement
284shall terminate if it fails to comply with any of the material terms or
285conditions of this Agreement and does not cure such failure in a reasonable
286period of time after becoming aware of such noncompliance. If all Recipient's
287rights under this Agreement terminate, Recipient agrees to cease use and
288distribution of the Program as soon as reasonably practicable. However,
289Recipient's obligations under this Agreement and any licenses granted by
290Recipient relating to the Program shall continue and survive. </span></p>

292<p><span style="font-size: 10pt;">Everyone is permitted to copy and distribute
293copies of this Agreement, but in order to avoid inconsistency the Agreement is
294copyrighted and may only be modified in the following manner. The Agreement
295Steward reserves the right to publish new versions (including revisions) of
296this Agreement from time to time. No one other than the Agreement Steward has
297the right to modify this Agreement. The Eclipse Foundation is the initial
298Agreement Steward. The Eclipse Foundation may assign the responsibility to
299serve as the Agreement Steward to a suitable separate entity. Each new version
300of the Agreement will be given a distinguishing version number. The Program
301(including Contributions) may always be distributed subject to the version of
302the Agreement under which it was received. In addition, after a new version of
303the Agreement is published, Contributor may elect to distribute the Program
304(including its Contributions) under the new version. Except as expressly stated
305in Sections 2(a) and 2(b) above, Recipient receives no rights or licenses to
306the intellectual property of any Contributor under this Agreement, whether
307expressly, by implication, estoppel or otherwise. All rights in the Program not
308expressly granted under this Agreement are reserved.</span> </p>

310<p><span style="font-size: 10pt;">This Agreement is governed by the laws of the
311State of New York and the intellectual property laws of the United States of
312America. No party to this Agreement will bring a legal action under this
313Agreement more than one year after the cause of action arose. Each party waives
314its rights to a jury trial in any resulting litigation.</span> </p>
